In order to implement the issuance of registered capital registration system reform program from State Council, Ministry of Commerce suggests improvements for some foreign investment management, are notified as follows:

Ⅰ. Foreign capital audit

1. To remove of Foreign Investment (including Taiwan, Hong Kong and Macao investment) company (hereinafter referred to as the Company) for the first time the ratio of capital contribution ratio of currency restrictions or requirements and funding period.

2. To cancel restrictions of the company minimum registered capital with the exception of specified regulations of laws, administrative regulations and State Council.

3. To perform in accordance with existing regulations temporarily before the relevant laws, administrative regulations and the State Council decision being modified.

Ⅱ. Foreign investment statistics

1. According to Foreign Investment Statistics System, Foreign investment statistics is still conducted on the basis of paid-up capital.

2. Companies shall issue capital contribution certificates to investors in accordance with relevant laws and regulations after the actual investment. An investment certificate shall contain: company name, date of incorporation, registered capital, investors (shareholders) name or names, of contribution, the amount of capital contributions or offers conditions for cooperation, the date of payment of capital contributions, investment certificate number and date of issue.

3. The investment certificate duplicate with the official seal and relevant documents shall be stamped to local department of commerce within 30 days after issuing investment certificates to investors.

The competent commercial departments at all levels shall make actual investment statistics according to the investment certificates stated capital contribution, contribution amount and currency (or conditions for cooperation provided content), the actual time.
